Terms & Conditions
This Agreement to provide personal shopping and styling by and between Stacie Bernard, (“Stylist” and/or “Consultant” and/or “SB Styling” and/or “We”) and “Client,” (collectively, “Parties”) based upon the Services, Payment, and other requirements, as set forth below (“Agreement”).
This Agreement will officially begin on date agreement is submitted.
As your Personal Shopper & Stylist, my role is to:
Learn and understand your challenges in relation to styling, body image and shopping concerns.
Develop a top-level strategy based on your needs.
Offer a thorough style assessment to determine styles for your shopping session(s).
Prepare a detailed SB Styling Sheet for your online shopping trip that includes Brand/Retailer, MSRP, Product Details, Style Notes, and Shoppable Links.
Timeline: After initial virtual assessment, style assessment will be sent to Client with additional On-Boarding documents. Once Client completes style assessment and sends back to SB Styling, the SB Style File will be sent to client within 7 business days or within the agreed upon timeline with Client.
Payment: Payment shall be made by Visa, MasterCard, American Express, JCB, Diner’s Club, Stripe and/or PayPal via submission of payment through Online Form (“Next Steps Online Form”) link provided by SB Styling through its website. Client agrees to the Terms and Conditions of the selected payment processor, Stripe, and/or PayPal. Payment amount shall be determined by Client’s selected plan via Next Steps Online Form. Upon the submission of the non-refundable payment, Client agrees to be responsible for the entire payment plan as indicated on said payment section. If SB Styling has offered Client a payment schedule, Client agrees to make timely payments, or if additional payments are not able to be processed, Client understands that the remainder of Services may be forfeited until payment is made. If a payment installment plan is selected by Client and agreed to by Consultant, payments will be billed in equal increments monthly over a three (3) month period, beginning from date first payment is made. Payment is deemed earned upon execution of Terms and Conditions.
If any payment is over 5 days past due, interest will be added to and payable on all overdue amounts at 5 (five) percent per year, or the maximum percentage allowed under applicable Michigan laws, whichever is less. Client shall pay all costs of collection, including without limitation, reasonable attorney fees. In addition to any other right or remedy provided by law, if Client fails to pay for the Services when due, SB Styling has the option to treat such failure to pay as a material breach of this Agreement, and may cancel this Agreement.
Scheduling + Timing: Being accessible and attentive to our clients is top priority. If you need to reach SB Styling, please contact via email or Voxer. We will do our best to respond to you within within 7 business days . We will do our best to give 6 hours notice if we have to cancel or reschedule any call or consultation we have scheduled.
Confidentiality: All information exchanged during the selected plan will be kept strictly confidential. SB Styling will not disclose confidential information that Client shares during the selected plan to anyone else without reason to know such information, unless required by law, ethics, or upon written authorization by Client. SB Styling will not share any of this proprietary information at any time, even after the Agreement is fulfilled. SB Styling also will not use any of this proprietary information for his/her personal benefit at any time, even after the Agreement is fulfilled.
Intellectual Property Rights:
Any copyrightable works, ideas, or other information (collectively “Work Product”) developed in whole or in part by SB Styling in connection with the Services will be the exclusive property of SB Styling. Such materials shall be provided to Client for his or her individual use only, and Client shall not be authorized to use any of SB Styling’s intellectual property or Work Product for any personal, commercial, or business purposes outside the limits of this Agreement. Client shall not be authorized to share, copy, post, reproduce, duplicate, sell, trade, resell, distribute, exploit, or otherwise disseminate any materials (including, but not limited to, course and/or program materials, tutorials or exercises) received from SB Styling electronically or otherwise without the prior written consent of SB Styling. All intellectual property, including SB Styling’s copyrighted materials, video, audio, processes of SB Styling’s, or any custom strategies or custom coaching tips, shall remain the sole property of SB Styling.
Non-Disparagement: Parties agree, both during and after the term of this Agreement, not to disparage, or make any disparaging remarks, or make remarks which could be construed as disparaging, or send any disparaging communications or communications which could be construed as disparaging concerning the other party, its respective reputation, business performance, and officers, directors, agents, and employees, to anyone. Where requested by law or arbitration, of course, Client is not prohibited from sharing their thoughts and opinions as a part of the legal process.
Disclaimer: Consultant is not an employee, agent, lawyer, doctor, manager, therapist, public relations or business manager, registered dietitian, or financial analyst, psychotherapist or accountant. Client understands that Consultant has not promised, shall not be obligated to and will not; (1) procure or attempt to procure employment or business or sales for Client; (2) perform any business management functions including but not limited to, accounting, tax or investment consulting, or advice with regard thereto; (3) act as a therapist providing psychoanalysis, psychological counseling or behavioral therapy; (4) act as a public relations manager (5) act as a publicist to procure any publicity, interviews, write-ups, features, television, print or digital media exposure for Client; (6) introduce Client to Consultant’s full network of contacts, media partners or business partners. Client understands that a relationship does not exist between the parties after the conclusion of this program. If the Parties continue their relationship, a separate agreement will be entered into.
Dispute Resolution: Parties will attempt to resolve any dispute out of or relating to this Agreement through friendly negotiations amongst the Parties. If the matter is not resolved by negotiation, Parties will resolve the dispute using the below Alternative Dispute Resolution (ADR) procedure. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof in Wayne County, Michigan. Both Parties agree that this shall be a final and binding arbitration, under the rules of the American Arbitration Association.
Refund Policy: Client acknowledges and agrees that Client is responsible for the full payment, once Client has made the initial payment to SB Styling. Parties agree that SB Styling shall not offer any re-payment or refund to Client unless there is a failure to deliver from SB Styling as per the deadlines set forth upon the start of this Personal Shopping/Styling Session unless new timing or extensions are otherwise agreed upon between Client and Consultant. In the event of non-delivery, a partial refund will be in proportion to the work and calls completed.
Severability: If any provision of this Agreement is held by to be invalid or unenforceable, the remaining provisions shall nevertheless continue in full force. The failure of either Party to exercise any right provided for herein will not be deemed a waiver of that right or any further rights hereunder.
Termination: SB Styling is committed to providing Client with a positive experience. Client agrees that SB Styling may, at its sole discretion, terminate this Agreement, and limit, suspend, or terminate Client without refund or forgiveness of monthly payments if Client becomes unresponsive or unable to be reached after 30 days of outreach from Consultant. This Agreement will terminate automatically upon completion of the Services required by this Agreement. In the event that Client is in arrears of payment or otherwise in default of this Agreement, all payments due here shall be immediately due and payable. SB Styling shall be allowed to immediately collect all sums from Client and terminate providing further Services to Client. In the event that Client is in arrears of payments to SB Styling, SB Styling retains the sole discretion to continue to offer Services after payment is finally received.
By submitting Next Steps Online Form, both Parties acknowledge that they have read, understand, agree to and accept all of the terms of this Agreement. Both Parties agree that such electronic acceptance of the Agreement shall constitute a legal and binding instrument with the same effect as an originally signed copy.
